EXCLUSIVE LICENSE VS. EXCLUSIVE RIGHTS/OWNERSHIP

An Exclusive License grants the buyer the exclusive right to use the audio production within the scope of the terms of the contractual agreement, whereas, an Exclusive Rights/Ownership Agreement grants the buyer exclusive rights over the original composition as well as the audio production of the track. In other words, the Exclusive Rights/Ownership Agreement ensures that the buyer will be the new copyright holder (both compositional and mechanical copyrights) and owner, whereas, the Exclusive License only gives the buyer the exclusive right to use the copyrighted material.
